1. Acceptance of Terms

By accessing or using the WeAD platform ("Platform"), including our website at wead.live, mobile applications, APIs, smart contracts, and related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and WeAD ("Company," "we," "us," or "our"). By creating an account, connecting a wallet, or using any Platform feature, you confirm that you have read, understood, and accept these Terms in full.

2. Platform Description

WeAD is a decentralized micro-advertising ecosystem that connects advertisers with individuals who display advertisements on portable display devices. The Platform operates on BNB Chain (Binance Smart Chain) and utilizes the WEAD BEP-20 utility token for payments and rewards.

The Platform includes, but is not limited to:

• Advertising Dashboard — Tools for advertisers to create, manage, and fund campaigns targeting real-world locations.
• Microtiser Network — A system for users ("Microtisers") to earn WEAD tokens by displaying ads on portable devices in designated areas.
• Token Economy — WEAD token distribution, staking, and reward mechanics powered by smart contracts on BNB Chain.
• Mixed Reality Integration — Upcoming augmented reality ad experiences through compatible smart glasses and wearable devices.
• Ecosystem Partners — Third-party platforms integrated into the WeAD ecosystem (Soundchains, RetroGG, RedFlag, Verity, Clean to Earn, Interact to Earn).
• Fund Me / Sponsorship — A feature enabling users to create and support sponsorship campaigns within the ecosystem.

3. Eligibility

To use the Platform, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater.
• Have the legal capacity to enter into binding contracts.
• Not be a person barred from using the Platform under applicable law, including but not limited to U.S. sanctions regulations (OFAC), EU sanctions, or any other applicable trade compliance laws.
• Not have been previously banned or suspended from the Platform for violations of these Terms.

4. User Accounts

The Platform supports multiple authentication methods:

• Email/OTP Authentication — Create an account using your email address and verify via a one-time password (OTP) sent to your inbox.
• Google Sign-In — Authenticate using your Google account via Firebase OAuth 2.0.
• MetaMask Wallet — Connect your Ethereum-compatible wallet for blockchain interactions and token transactions.

You are responsible for:

• Maintaining the security of your account credentials, wallet private keys, and any connected authentication methods.
• All activities that occur under your account or connected wallet address.
• Immediately notifying us of any unauthorized access to or use of your account at wead@viewfi.live.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used fraudulently.

5. WEAD Token

The WEAD token is a BEP-20 utility token deployed on BNB Chain. Important disclosures regarding the WEAD token:

• Utility Only — The WEAD token is a utility token designed to facilitate transactions within the WeAD ecosystem. It is not a security, investment contract, or financial instrument of any kind.
• No Guaranteed Value — The value of WEAD tokens may fluctuate and is not guaranteed. We make no representations or warranties regarding the current or future value of WEAD tokens.
• Blockchain Risks — Transactions on BNB Chain are irreversible. You are solely responsible for ensuring that wallet addresses and transaction details are correct before confirming any transaction.
• Gas Fees — All blockchain transactions require BNB for gas fees. These fees are paid to the BNB Chain network, not to WeAD, and are non-refundable.
• Smart Contract Risk — While our smart contracts undergo security reviews, no smart contract is guaranteed to be free from vulnerabilities. You use smart contracts at your own risk.
• Regulatory Compliance — You are responsible for understanding and complying with all applicable laws and regulations in your jurisdiction regarding the purchase, holding, and use of digital tokens.

6. Advertiser Terms

If you use the Platform as an advertiser, you additionally agree to the following:

• Content Standards — All advertising content must comply with applicable laws and regulations, including but not limited to the Network Advertising Initiative (NAI) Code of Conduct and Digital Advertising Alliance (DAA) Self-Regulatory Principles. Content must not be deceptive, misleading, offensive, discriminatory, or promote illegal activities.
• Prohibited Content — Advertisements may not promote illegal drugs or controlled substances, weapons, gambling (where prohibited), adult content in public-facing displays, hate speech, harassment, or any content targeting minors.
• Campaign Funding — Advertising campaigns are funded using WEAD tokens or supported payment methods. Campaign budgets are allocated to smart contracts and distributed to Microtisers upon verified ad displays.
• Content Review — We reserve the right to review, approve, reject, or remove any advertising content at our sole discretion.
• Performance Metrics — Campaign analytics and performance data are provided "as is." While we strive for accuracy, we do not guarantee the precision of impression counts, interaction rates, or other metrics.

7. Microtiser Terms

If you participate as a Microtiser (displaying ads to earn WEAD tokens), you agree to:

• Device Usage — Display advertisements on approved portable devices as directed by the Platform. Devices must be used in accordance with platform guidelines and local laws.
• Display Obligations — Maintain your device in proper working condition, display advertisements in the designated locations and timeframes specified by campaigns, and ensure ads are visible and unobstructed.
• Earning Mechanics — Token earnings are calculated based on verified ad displays, location accuracy, display duration, and other factors determined by smart contract logic. Earnings are not guaranteed and depend on advertiser demand, campaign availability, and your compliance with display requirements.
• Location Verification — The Platform may use GPS, Wi-Fi, or other location technologies to verify that ad displays occur in designated areas. You consent to this location verification while actively displaying ads.
• Independent Contractor — Microtisers are independent contractors, not employees of WeAD. No employment, partnership, or agency relationship is created by these Terms.

8. Fund Me / Sponsorship Terms

The Fund Me feature allows users to create sponsorship campaigns and receive support from the community:

• Campaign Creation — Users may create sponsorship campaigns subject to review and approval by WeAD. Campaign descriptions must be accurate and not misleading.
• Contributions — Sponsorship contributions made via WEAD tokens are voluntary and non-refundable unless otherwise required by applicable law.
• No Guarantee — WeAD does not guarantee the success, authenticity, or outcome of any sponsorship campaign. Contributors bear the risk of their contributions.
• Platform Fee — WeAD may charge a platform fee on sponsorship transactions as disclosed at the time of the transaction.

9. Intellectual Property

All intellectual property rights in and to the Platform, including but not limited to the website design, logos, trademarks ("WeAD," "WeADvertise," "Microtiser"), software, smart contracts, documentation, and all content created by WeAD, are owned by or licensed to WeAD.

You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our prior written consent. You retain ownership of content you submit to the Platform (such as advertising creative), but grant WeAD a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content in connection with operating the Platform.

10. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Fraud & Manipulation — Using bots, scripts, or automated tools to simulate ad views, interactions, or engagement; GPS spoofing or location falsification; creating multiple accounts to exploit rewards.
• Token Manipulation — Market manipulation, wash trading, or any activity intended to artificially influence the price or volume of WEAD tokens.
• Security Violations — Attempting to gain unauthorized access to the Platform, other user accounts, smart contracts, or backend systems; deploying malware, viruses, or other malicious code.
• Abuse of Service — Using the Platform for money laundering, terrorist financing, or any illegal purpose; circumventing rate limits, security measures, or access controls.
• Intellectual Property Infringement — Uploading content that infringes on third-party intellectual property rights.
• Interference — Any action that disrupts or interferes with the Platform's operation, other users' experience, or blockchain network performance.

Violation of these terms may result in immediate account suspension, forfeiture of earned tokens, and/or legal action.

11. Third-Party Services & Links

The Platform integrates with and links to various third-party services. These include but are not limited to:

• Ecosystem Partners — Soundchains, RetroGG, RedFlag, Verity, and other integrated platforms accessible through the WeAD dashboard.
• Blockchain Services — BNB Chain (BSC), MetaMask, and other wallet providers.
• Authentication — Google/Firebase for OAuth sign-in.
• Infrastructure — Google Maps API, Leaflet, Resend, and other service providers.

Third-party services are governed by their own terms of service and privacy policies. WeAD is not responsible for the content, privacy practices, or availability of third-party services. Your use of third-party services is at your own risk.

12. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Platform will be uninterrupted, timely, secure, or error-free.
• The results obtained from using the Platform will be accurate or reliable.
• Any defects in the Platform will be corrected.
• Smart contracts will execute as intended under all circumstances.
• Token values will be maintained at any particular level.

Certain features of the Platform may be in beta or development phase. Beta features are provided for testing purposes and may be modified, suspended, or discontinued at any time without notice.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEAD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF TOKENS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO WEAD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless WeAD and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of or access to the Platform.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your advertising content or any content you submit to the Platform.
• Your infringement of any third-party intellectual property or other rights.
• Any dispute between you and a third party related to the Platform.

15. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to:

• Violation of these Terms or any applicable law.
• Fraudulent, abusive, or illegal activity.
• Extended inactivity.
• Request by law enforcement or government agencies.
• Discontinuance or modification of the Platform or any part thereof.

Upon termination, your right to use the Platform ceases immediately. WEAD tokens in your personal wallet remain your property, as they exist on the BNB Chain independently of our Platform. However, any pending or unclaimed rewards may be forfeited.

16. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, unless you are located in a jurisdiction where arbitration clauses are not enforceable, in which case local courts shall have jurisdiction.

You agree that any claims or disputes must be brought on an individual basis and not as part of any class, consolidated, or representative action.

17. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Material changes will be communicated through the Platform, by email, or by posting a prominent notice on our website.

Your continued use of the Platform after any changes constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Platform.
